The core problem is not a lack of patents. It’s a broken revenue model.

Circle’s income flows from USDC reserve yield. Open USD returns that yield to distributors. Zero mint/redeem fees. That’s not a feature—it’s a weapon. It directly attacks Circle’s profit center. And IBM, the patent seller, sits on Open USD’s partner list. The irony is thick.

Liquidity draining. Logic broken.

The patents cover foundational blockchain tech: banking, insurance, supply chain, secure cloud operations. They are defensive. They prevent competitors from suing Circle. But they don’t bring back the yield. They don’t force Coinbase to renew its distribution deal—the single most critical upstream relationship for USDC adoption. That deal expires this month. If Coinbase walks, Circle loses half its on-ramp.

From my experience reverse-engineering Bored Ape Yacht Club’s centralized metadata in 2021, I learned that ownership illusions crumble when the underlying source of truth is controlled by a single party. Here, Circle’s “ownership” of IBM patents is similar: impressive on paper, but the real asset—distribution—is controlled by partners who now have better offers.

Market sentiment is overly pessimistic. But there is one scenario where this deal pays off. Circle can use the patent portfolio to sue Open USD members for infringement. IBM’s patents cover technology used by many alliance participants. A targeted lawsuit or even a licensing demand could force competitors to pay royalties, creating a new revenue stream that partially offsets lost reserve yield. This is the “defense-to-offense” pivot. Low probability—maybe 20%—but high impact if executed.

Compliance and IP lock-in are sticky. That value is not priced in at $63.

The real question: Can Circle turn this into a platform play?

If they use the patents to license technology to enterprise customers, and use the charter to offer custodial services, they move from a rent-collector (reserve yield) to a service provider. That’s a higher-margin, more defensible model. But the clock is ticking. Open USD is already live. Visa is pushing it through its global network. Every day of delay erodes Circle’s bargaining power.
